The service
SubShield helps general contractors track subcontractor compliance — collecting and reading Certificates of Insurance (COIs), checking Florida contractor licenses against Florida DBPR's published license data, tracking W-9s, and surfacing status and expiry alerts. We may add, change, or remove features over time.
Informational only — no legal advice
SubShield is an informational tool. Its outputs — including any “cleared,” “action-needed,” or similar verdicts, extracted document details, and license lookups — are provided for your convenience and are informational only. They are not insurance, legal, tax, or compliance advice, and they are not a guarantee of accuracy, completeness, or compliance. Document data is read automatically and may contain errors; license status reflects the most recent available DBPR data and may lag the official record. You are responsible for reviewing original documents, confirming coverage with your insurer or agent, and verifying license status directly with DBPR before relying on any result. SubShield does not decide whether any subcontractor is, in fact, compliant or cleared to work — those decisions remain yours.
Accounts and acceptable use
You are responsible for activity under your account and for keeping your sign-in access secure. You agree to use SubShield only for lawful business purposes and to provide accurate information. You will not: misuse or attempt to disrupt the service; access it without authorization; upload unlawful content or content you lack the right to share; attempt to reverse engineer the service; or use it to violate the privacy or rights of others. You are responsible for having the appropriate basis to collect and upload information about your subcontractors, including any sensitive identifiers contained in their documents.
Billing and renewal
Paid plans are billed in advance on a recurring basis — monthly or annual, depending on the plan you choose — and automatically renew at the then-current price until canceled. You can cancel at any time through the billing portal in your account; cancellation stops future renewals and your plan remains active until the end of the current billing period. Fees are charged through our payment processor, Stripe. See our Refund & Cancellation Policy for details on refunds.
No warranty
SubShield is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any result or extracted data will be accurate or complete.
Limitation of liability
To the fullest extent permitted by law, SubShield and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the service — including any reliance on its outputs, verdicts, or extracted data. In no event will our total liability for all claims relating to the service exceed the greater of the amounts you paid us for the service in the twelve (12) months before the event giving rise to the claim, or one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
Termination
You may stop using SubShield and delete your account at any time from your account settings. We may suspend or terminate access if you violate these Terms or use the service in a way that may cause harm or legal exposure. Sections that by their nature should survive termination — including disclaimers, limitation of liability, and governing law — will continue to apply.
Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Florida will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service.
Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.
